Terms of service
The agreement between your practice and MLJ, SASU for the use of PauseNotes. In force from September 4, 2026.
1. Acceptance
These terms form a binding agreement between MLJ, SASU, publisher of PauseNotes, and the practice or individual clinician that subscribes to the service. You accept them by creating an account, by signing an order form that references them, or by using the service. If you accept on behalf of a practice, you confirm that you have authority to bind that practice. If you do not accept these terms, do not use the service.
2. What the service is
PauseNotes is a web based service for menopause and midlife health practices. It sends structured symptom questionnaires to patients between visits on a schedule the practice defines, scores the responses against validated instrument rules, charts them over time alongside a therapy timeline the practice records, raises flags for pre defined safety items, and produces a summary document before each appointment. It is a documentation and patient reported outcome tool.
PauseNotes does not diagnose, does not recommend or adjust therapy, does not prescribe, and is not a medical device. It does not replace clinical judgment, does not monitor patients in real time and must never be relied upon as an emergency or urgent communication channel. Every clinical decision remains the responsibility of the treating clinician.
3. Accounts and eligibility
Accounts are available to licensed clinicians and to the practices that employ them. You are responsible for the accuracy of your account information, for the credentials issued to your staff, for removing access when a staff member leaves, and for all activity that occurs under your account. Each named clinician seat is personal and may not be shared between prescribers. You must be at least eighteen years old and legally able to enter into this agreement.
4. Acceptable use
You agree to use the service only for lawful clinical documentation purposes and only with patients who have been informed that questionnaires will be sent to them. You agree not to attempt to breach access controls, not to probe or load test the service without written permission, not to resell or sublicense access, not to reverse engineer the software, not to upload malicious code, and not to use the patient messaging channel for marketing of any kind. We may suspend an account immediately where continued use would endanger the service or other customers, and we will tell you why.
5. Subscription and billing
Subscriptions are sold monthly in United States dollars at the prices published on this site: Solo Clinician at $59 per month for one prescriber, Clinic at $129 per month for up to five clinicians plus unlimited non prescribing staff, and Group Practice at $269 per month for up to twenty clinicians across multiple locations. Prices are exclusive of any applicable taxes. Payment is taken on the same date each month for the month ahead. Moving to a higher tier during a period is prorated in your favor; moving to a lower tier takes effect on the next invoice.
If you exceed the clinician count of your tier, we contact you and move you to the correct tier from the following invoice rather than blocking access. Price changes are announced at least sixty days in advance and never apply to an invoice already issued. Invoices unpaid thirty days after issue may lead to suspension after two written reminders.
6. Cancellation
You may cancel at any time from the account screen without contacting us and without giving a reason. Cancellation takes effect at the end of the current paid month; there is no exit fee and no refund of the month already begun. On cancellation you may export your complete data as CSV files and as per patient PDF summaries. The account remains available in read only mode for thirty days, after which it and its contents are deleted from production systems and removed from backups within a further thirty days.
7. Customer data and ownership
All patient records, questionnaire responses, scores, notes and summaries entered into or generated by the service belong to your practice. MLJ, SASU claims no ownership of them and processes them solely on your documented instructions, as a business associate under the agreement signed before your first patient link is sent. We do not use your patient data to train models, we do not sell it, and we do not disclose it except where you instruct us to or where the law compels us, in which case we notify you unless prohibited from doing so. Aggregate, fully de identified statistics about service usage may be used to improve the product and to publish anonymous benchmarks.
8. Service availability and support
We target 99.9 percent monthly availability, measured excluding announced maintenance windows, which are published at least five days in advance and scheduled outside United States business hours wherever possible. Support requests are answered within one business day, and issues affecting scoring accuracy, safety flags, patient links or data export are treated as urgent and answered the day they are received regardless of subscription tier.
9. Warranty disclaimer
The service is provided on an as is and as available basis. To the fullest extent permitted by law, MLJ, SASU disclaims all implied warranties, including merchantability, fitness for a particular purpose and non infringement. We do not warrant that the service will be uninterrupted or entirely free of error, that patients will complete questionnaires, or that any particular clinical or financial outcome will follow from using it.
10. Limitation of liability
To the fullest extent permitted by law, the total liability of MLJ, SASU under this agreement is limited to the fees you paid for the service in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special or consequential loss, including lost revenue, lost patients or lost goodwill. Nothing in this clause limits liability for fraud, for willful misconduct, or for any liability that cannot be limited under applicable law.
11. Indemnity
You agree to indemnify MLJ, SASU against third party claims arising from your use of the service in breach of these terms, from clinical decisions made by your practice, or from your failure to obtain the patient permissions required in your jurisdiction before sending questionnaires. We will indemnify you against third party claims that the service as supplied infringes an intellectual property right, provided you tell us promptly and let us handle the defense.
12. Changes to these terms
We may update these terms to reflect changes in the service or in the law. Material changes are notified by email at least thirty days before they take effect, and continued use after that date is acceptance. If you do not accept a change, you may cancel before it takes effect and export your data as described above.
13. Governing law and contact
This agreement is governed by French law. Any dispute that cannot be resolved amicably falls under the exclusive jurisdiction of the competent courts of Paris, France.
